Business law
Sorry. Had to. Low-hanging fruit is still sweet.

Whether you’re setting something up, buying something established, raising money, or figuring out who owns what – there are plenty of moments in business when getting the legal side right really matters. That’s where RVG comes in.
Our business lawyers in Christchurch work with everyone from sole traders and family operations to growing companies and large corporations. Whatever you’re building, we’ll give you good advice without making a song and dance about it.
Less busyness and more business. That’s the general idea.

No matter which sector you’re in, niche you service, or mould you’re breaking – there are certain things every single business needs to get right.
Who owns it? How’s it structured? What happens when someone new comes onboard? What if somebody wants out? Where’s the money coming from? And who thought starting a business involved quite this much admin? We help with the legal questions that come up at every stage – from choosing the right business structure and understanding business entities law to shareholders’ agreements, buying and selling, raising capital, and business succession planning.
There’s compliance to think about too, including anti-money laundering compliance where it applies. Some of that might sound a little dry. Fair enough. But getting things right now can save you a whole load of drama, money, and frantic phone calls later.
We’re big fans of that.
Start as you mean to go on. Oh, you’re starting a new chapter? Congratulations are very much in order. There’s plenty to get excited about when you’re setting up a business.

Constitutions and ownership structures may or may not be top of that list. Either way, we’ll help you get them sorted.
At RVG, helping you set up your company means putting agreements and protections in place that make sense for what you’re building. That might include a constitution, shareholders’ agreement, employment agreements, trademarks, or key person insurance. It will almost certainly include giving you key contacts for computers, Wi-Fi, and chocolate biscuits. Very important stuff.
The point is to think about all of this while everyone’s enthusiastic and getting along nicely. It tends to be a lot easier than sorting it out once something has gone sideways.
Moving on or moving up? Buying a business can be an exhilarating thing. Selling one can be too. Both tend to involve an alarming degree of documentation. That’s life.

So whether you’re settling in, settling up, or just feeling a tad unsettled – we’ll guide you through the process calmly. Our experience comes in super handy when you’re trying to understand what you’re buying, selling, signing, and agreeing to along the way.
Your lawyer at RVG will look closely at the deal, carry out the necessary due diligence, help identify risks, work through the agreement, and make sure you understand the important bits before anything becomes difficult to undo. Handing over the keys or picking them up… the objective is much the same: get the deal done properly and get on with whatever comes next.
A prenup for your business. Sort of. You find the right person, get to know each other, decide you make a cracking team… then you commit.

Yeah, getting into business with someone else is a bit like getting married. Merely muttering the word ‘prenup’ at this particular moment might not sound wildly romantic. But it can be a very sensible idea. So it goes with a shareholders’ agreement.
These agreements set clear expectations from the start, covering things like how decisions are made, what each shareholder can/can’t do, what happens if circumstances change, and how things pan out if somebody later wants out. Nobody starts a business partnership expecting it to end badly. That's precisely why it’s worth agreeing on the difficult stuff while everyone’s still all smiles.
A good shareholders’ agreement can save hours of angst, heartbreak, and a fair few dollars down the line. Trust us on this one… it’s worth sorting at the start.
Sadly, it still doesn’t grow on trees. Even if you’re in horticulture. Bummer.

If your business is going places, you may soon need more money to get there. Bringing in investment or raising capital opens up all sorts of opportunities, but it can also change ownership, expectations, obligations, and who gets a say in what happens next. Worth getting right then? Absolutely.
We’ll help you work through the legal side of raising money so you understand the implications of different options and get the necessary agreements in place from the get-go.
We’ve got ideas and we know some people. Oh, and we’re more than happy to turn over a few rocks with you to work out what makes sense.
Probably still best to steer clear of Trev from your cousin’s wedding and his ‘unmissable’ investment opportunity, though.

Maybe you’ve got a brilliant idea scribbled on the back of a napkin. Maybe you’ve been in the game for 20 years and you’re figuring out what comes next. Maybe it’s Maybelline. Whatever the story, bring us in.
Good business law isn’t about tripping you up or stressing you out. It’s about helping you make sound decisions, protect what you’re building, and move forward knowing the important stuff’s taken care of. Let’s get to it.
